In an exclusive with Argaam, Mohammed El-Kuwaiz, vice chairman of the the Capital Market Authority (CMA) said he belives the Saudi Stock Exchange (Tadawul) is ready to launch the Nomu Parallel Market by the end of February.
He added that all figures are “highly satisfactory” in terms of the expected number of new entrants and trading volumes, as well as the average size of companies.
Saudi Arabia is also currently still working with global index providers. International equity index compiler MSCI is expected to launch a mid-year review on whether Saudi Arabia should be included in its emerging market index, he added.
El-Kuwaiz also said the CMA is actively clamping down on share price manipulations, and working to ease procedures for filing legal complaints in regards to market manipulation.
Q: Nomu-Parallel Market was scheduled for launch by the end of February, is the market ready for this move?
A: Ahead of the planned launch, Tadawul and the Saudi market regulator defined certain targets for the new market, in terms of the expected number of new entrants on the day the market officially opens and after one year. The criteria included expected trading volumes, average company size, etc. These guidelines were compared to other parallel markets worldwide. We found the figures to be highly satisfactory and are very close to markets in other countries.
Q: No recent initial public offerings have been announced in the main market; are you currently focusing on new listings in the Parallel Market rather than Tadawul?
A: The CMA and Tadawul have ensured integration between the main and parallel markets, rather than competition. Investors now have a new category of firms with different risks and revenue profiles. The number of IPOs on the new market ahead of the expected launch might seem high, since such firms have never had the opportunity to list their shares before.
Q: In June 2015, Tadawul opened to foreign investors and was aiming for MSCI inclusion by mid-2017. Though MSCI has welcomed the Saudi market’s positive reforms, inclusion was delayed. What is the reason behind that?
A: Changing Tadawul into a regional and a global market in line with Saudi Arabia’s National Transformation Program 2020 requires first, attracting new listings to the local market; and second, luring investors to Tadawul.
Tadawul has applied several regulatory procedures, as well as adjusting the rules of foreign investments in Saudi securities, which were updated in 2016.
Foreign institutional investors need other technical requirements, mainly the separation of the depository center from the equity market, so that potential liabilities for Tadawul may not impact the financial position of the depository center. Switching to the T+2 settlement from the same-day settlement cycle was also necessary. In line with these changes, many leading firms have provided positive feedback on the regulatory reforms implemented by the CMA.
Q: What are the benefits of Tadawul’s inclusion in MSCI?
A: The Saudi exchange will reap many benefits. Tadawul will be well-positioned as a leading regional market and a hub for international investors. That will boost institutional investment and market efficiency. Additional liquidity will be injected not only in the market, but also in the local economy, which makes trading more balanced and limits price fluctuations. Since global bodies and independent firms will closely monitor Tadawul’s performance, the level of disclosure and corporate governance will increase and thus attract more investors.
Q: Do you think the CMA decision on loss-making firms will help those companies get back on track?
A: The new corporate law forces firms that have accumulated losses exceeding 50 percent of their capital to adopt a restructuring plan by raising or cutting capital. The new law will come into effect on April 22. Due to the higher risks faced by investors in those firms, the market regulator has taken several procedures, including the placement of a flag on company's name on Tadawul website, while ordering loss-makers to implement restructuring and disclose turnaround plans.
Q: Do you think Tadawul and the CMA are ready for Saudi Aramco’s IPO over the coming period?
A: Saudi Aramco’s listing is a strategic decision that will allow Tadawul to shift into a competitive, international stock market. Tadawul will be the key market for Aramco, which is likely to be cross-listed.
Aramco’s listing will be a great opportunity for local investors and will also attract foreign investors. The current regulatory frameworks are ready to support Saudi Aramco’s listing.
Q: Did real estate investment traded funds attract retail investors after the first listing?
A: REITs have attracted many investors. Fund managers and investors have shown interest in that new instrument. Several applications are currently being considered for listing more REITs on Tadawul.
Q: With respect to corporate violations (for example, the share price manipulations associated with Mobily and Al-Mojil Group) why does not the market regulator directly compensate aggrieved investors regardless of legal claims and complaints to the CMA?
A: CMA law has defined the compensation mechanism, through filing complaints or claims at the market regulator first, then through filing a legal claim to determine the required compensation. The CMA is mulling ways to facilitate procedures for filing legal claims and to reduce the related costs.
Q: A final decision was issued on ordering Al-Mojil Group to pay SAR 1.62 billion to the CMA for illegal gains made during the IPO. Will the market regulator use this amount to compensate the aggrieved shareholders?
A: Yes, based on the final ruling, the claimed amount will be paid to the CMA to compensate shareholders.
