Saudi German Health board member resigns; reasons disputed

Middle East Healthcare Co. (Saudi German Health) said non-executive board member Khalid Batterjee submitted his resignation on Dec. 11, effective upon his own request.

 

The company noted that the stated reasons for the resignation included divergent views regarding the board‘s operational mechanisms, related-party transactions, the governance framework, and the concentration of powers.

 

In a Tadawul filing today, Dec. 18, the company expressed reservations regarding justifications provided in the resignation. It stressed that the reasons cited represent only Batterjee’s viewpoint and do not reflect the actual operational reality of the company or the practices of its board.

 

The claims are not supported by any official objections or reservations documented in board or committee minutes, nor by any remarks from external auditors or relevant regulatory bodies.

 

The company reaffirmed full compliance with governance rules and related regulations, saying the resignation has no impact on its financial position, business continuity, or the integrity of board decisions.

 

The board reserves all legal rights to take appropriate action regarding the contents of the resignation letter in accordance with applicable laws and regulations. It underlined that procedures will be initiated to appoint a replacement member.

 

Batterjee has been member of Saudi German Health’s board since listing on the Saudi Exchange (Tadawu).
