SISCO Holding’s unit completes acquisition of 100% stake in Transcorp International

Sustained Infrastructure Holding Co. (SISCO Holding) said its 31.67%-owned portfolio company, Green Dome Investments (GDI), completed the acquisition of a 100% stake in Transcorp International for AED 225 million (SAR 229.75 million) on Nov. 5, 2025.

The company said in a statement to Tadawul that the acquisition was financed through equity from GDI shareholders, with SISCO contributing AED 75 million (SAR 76.58 million).

GDI is accounted for as an equity-method associate of SISCO, so the transaction’s impact on SISCO’s 2025 consolidated financial statements is not material.

Any financial effects will be reflected in subsequent periods in the normal course of business under applicable accounting standards, the company added.

In October 2025, SISCO announced that GDI had signed a share purchase agreement to acquire Transcorp International, with the current owner remaining in place to continue driving growth in partnership with GDI. The transaction was expected to close in Q4 2025.

Transcorp International reported revenues of AED 60.8 million (SAR 62.08 million) in 2022, AED 75.8 million (SAR 77.39 million) in 2023, and AED 109.4 million (SAR 111.7 million) in 2024, according to the statement.
