Dallah Health board declares 5% dividend for Q4 2025, 20% bonus shares

Dallah Healthcare Co.’s board of directors decided on March 4 to pay a cash dividend at 5% of capital, or SAR 0.50 per share, for Q4 2025, the company said in a statement to Tadawul.

In a separate statement to Tadawul, the company said its board of directors recommended to the extraordinary general meeting (OGM) a 20% capital increase through the issuance of one bonus share for every five shares held, as shown in the table below.

The company said any fractional shares will be combined into a single portfolio for all shareholders and sold at market price.

 

The proceeds will then be distributed to eligible shareholders, each according to their respective ownership, within a period not exceeding 30 days from the date of determining the new shares eligible for each shareholder.

 

The company noted that the bonus issue is subject to obtaining the approvals of the relevant regulatory authorities and shareholders at the EGM for the capital increase and the number of bonus shares to be issued.

 

Dallah currently holds 471,820 treasury shares under its employee incentive share program. If the necessary approvals for the 20% capital increase are obtained, the number of treasury shares will be adjusted to approximately 566,190 shares, in line with the capital increase ratio.

 

It added that if the company purchases additional treasury shares between the date of this recommendation and the date of the EGM, the proposed 20% bonus share distribution will be adjusted accordingly to reflect the additional treasury shares.

 

The company also indicated that the EGM will review an amendment to the maximum number of shares allocated to the employee incentive program, increasing it to 1.2 million shares from 1 million shares, in line with the proposed capital hike.
