EFSIM Facilities Management Co. announced today, Nov. 25, its IPO prospectus for the offering of 16.8 million shares on the Main Market (TASI).
The offered shares represent 30% of the post-offering and post-capital increase shares and 37.3% of the pre-offering and pre-capital increase shares.
Post-IPO, EFSIM’s capital is slated to amount to SAR 112 million, divided into 56 million shares, at a nominal value of SAR 2 apiece.
The offering is a combination of primary and secondary sales. Existing investors will sell 5.8 million shares proportionate to their ownership stakes (10.4% of the post-offering capital). EFSIM will also issue 11 million new shares, making up 19.6% of the post-offering capital.
The company intends to use net offering proceeds to strengthen working capital, procure modern technology and equipment, construct or acquire worker accommodation, secure new transport assets, and cover other general operational needs.
Institutional investors may register and participate in the book-building process from Dec. 1 through Dec. 7. The subscription window for individual investors will remain open between Dec. 18-22.
In September, EFSIM obtained approval from the Capital Market Authority (CMA) to proceed with the planned TASI offering.
The subscription is limited to two categories of investors:
Tranche (A): Participating parties: This includes categories eligible to participate in the book-building process.
Tranche (B): Individual subscribers: This covers Saudi natural persons, non-Saudi natural persons residing in the Kingdom, and GCC nationals with a bank account with one of the receiving agents and are allowed to open an investment account. They will be allocated 5.04 million shares, representing 30% of the total offered shares.
EFSIM was established in 2008 under the name Amcor Saudi Arabia Limited, before being later converted into a closed joint-stock company. In 2024, its name was changed to EFSIM Facilities Management Co.
It provides integrated facility management services across the Kingdom, focusing primarily on facility management, including cleaning, operations, and maintenance. It serves sectors such as aviation, education, and oil and gas.
According to the commercial register, the company’s activities include general building cleaning, exterior building cleaning, pest control and fumigation, park and public garden maintenance, operation of storage facilities, catering services, among others.
