CMA approves Saudi German Health request to float SAR 1.5B debt instruments

The Capital Market Authority (CMA) approved today, Dec. 4, Middle East Healthcare Co.’s (Saudi German Health) request for the registration and public offering of debt instruments as part of a program worth up to SAR 1.5 billion.

The prospectus will be published within sufficient time prior to the start of the subscription period.

The prospectus includes all relevant information that the investor needs to know before making an investment decision, including the financial statements of the issuer and adequate information about its activities and management, in addition to the details of the issuance program mentioned above.

An investment decision without reading the terms and conditions (T&Cs) carefully or fully reviewing their content may involve high risk.

Therefore, investors should carefully read the T&Cs, which include detailed information on the issuer, investment strategy and risk factors, and carefully study them to be able to assess the feasibility of taking into consideration the associated risks.

If the T&Cs prove difficult to understand, it is recommended to refer to a licensed financial advisor for more information, the statement said.

The CMA's approval on the application will be valid for six months from the CMA resolution date. The approval will be deemed cancelled if the offering and listing of the issuer's first tranche of the debt instruments of the program is not completed within this period.

Saudi German Health’s extraordinary general assembly approved in August last year sukuk issuance, through single or multiple issues under one or more programs or as a standalone issue, according to data compiled by Argaam.

The approval allows for sukuk issuance via public or private offerings, in or outside Saudi Arabia, and listing in any market, in Saudi Riyal or other currencies.
