The seventh ordinary general assembly meeting of AlMouasah Co. which was held on Tuesday Jumady first 21, 1434 corresponding to April 2, 2013, and after achieving a quorum with an attendance rate of 54.21% has approved the following agenda:
1- The approval of the Board of Directors Report for the year 2012
2- The ratification of the Company's financial statements and the auditor's report as it is on 31/12/2012
3- Discharge of the members of the Board of Directors for their actions during the pre-mentioned period.
4-Approve the recommendation of the Board of Directors to distribute cash dividends of SR 75 million for the fiscal year 2012 at SR 1.5 per share equal to 15% of the company's capital to shareholders registered with "Tadawul" at the end of the day of the Assembly held on 02 April 2013, and the date and method of dividends disbursement will be determined later.
5- Approving the reappointment of the audit firm "Deloitte and Touche (Bakr Abulkhair & Co.)" from among the candidates presented by the Audit Committee;to audit the company's quarterly financial statements for the fiscal year of 2013 and determining his audit fees.
6- Approving already executed supply and leases contracts and travelling tickets between AlMouasah co. for medical services and AlMouasah Global Ltd. owned by some members of the Board of Directors ( Mr. Mohamed Sultan ElSubaey and Mr. Naser sultan Elsubaey) during the year of 2012 for an amount of Sr 17,200,000 .
And approval of supply and leases contracts and travelling, which will be executed during the year 2013 and estimated at SR 22 million (twenty two million), which will be contracted out, according to the company's procurement system
7- approving the disbursement of a cash bonus amounted to SR 1,400,000 (one million four hundred thousand riyals) to the members of the Board of Directors for the year ended 31/12/2012 at SR 200,000 (two hundred thousand) for each member
