Sinad holding Co. announces the appointment of the Chairman and Vice Chairman of the Board of Directors and the formation of the Board committees for the new term.

Sinad Holding Company announces that the Board of Directors, in its meeting held on October 27, 2025, decided the following:

First: Appointment of Eng. Abdulaziz Mohammed Abdo Yamani as Chairman of the Board of Directors (Non-Executive Member).

Second: Appointment of Mr. Amr Mohammed Kamel as Vice Chairman of the Board of Directors (Non-Executive Member).

Third: Formation of the Nomination and Remuneration Committee with the following members:

(1). Mr. Mansor Abdulaziz Al Bosaily (Independent Member) – Chairman

(2). Mr. Amr Mohammed Kamel (Non-Executive Member) – Member

(3). Mr. Abdullah Ibrahim Al Howaish (Non-Executive Member) – Member

Fourth: Formation of the Investment and Finance Committee with the following members:

(1). Mr. Amr Mohammed Kamel (Non-Executive Member) – Chairman

(2). Mr. Naif Saleh Al Rajhi (Non-Executive Member) – Member

(3). Mr. Faisal Mohammed Shaker (Independent Member) – Member

(4). Mr. Tariq Ibrahim Khoshhal (Non-Executive Member) – Member

The Board of Directors has also formed the Audit Committee for the new term, and it will be announced separately in accordance with disclosure requirements.

The Board’s decision to form the above-mentioned committees, including the Audit Committee, shall take effect as of 27/10/2025 and remain valid for three years, ending on 26/10/2028.

A Secretary to the Board of Directors and its committees has also been appointed, in addition to representatives of Sinad Holding Company with the Capital Market Authority and the Saudi Exchange (Tadawul).

The Board expressed its gratitude and appreciation to the outgoing members of the Board and its committees, valuing their valuable contributions and cooperation, and wishing them continued success in all their future endeavors.
